how ordinary businesses make money

What a law firm is really selling you

A plain manila document folder, a wooden-handled rubber stamp, a black fountain pen, a small brass desk clock without numerals and a blank invoice sheet on a soft pink paper board
Not hours. Not advice, exactly. Something more annoying.

A law firm is selling you someone who has to answer for it if the paperwork turns out wrong. The paperwork is only the part you can see. That's my reading rather than a finding, because I couldn't find one Malaysian firm's accounts to test it on.

A fee that ignores the clock

Buy a house in Peninsular Malaysia and the lawyer's fee is mostly a sum, not a quote, set by an order that dates from 2023. That order charges 1.25% on the first RM500,000 of the price, then a slightly lower rate above that.1

From The Star's 2023 report of the order, before any reduction. Buying from a licensed developer can cut it by up to half, depending on the value.

What's missing from that sketch is hours. The dearest house pays about six and a half times what the cheapest does, and my guess is nobody spends six and a half times as long at the desk.

I couldn't find anyone who publishes hours per file, so it stays a guess. What certainly does grow with the price is what's riding on it, because a bad title on a bigger house is a bigger loss.

So I read the scale as priced on the size of the possible mistake, whatever anyone had in mind when they drew it up.

What a mistake costs

The Federal Court restored a RM1.5 million award against a lawyer and his firm in 2024.4 The house purchase behind it went back to 2004.4 The developer's master title was charged to a bank, the sale agreement hadn't allowed for it, and the bank could auction the couple's house.

Part of that award was for the pain of being misled afterwards, so it isn't all the price of the first slip.

Dates from the report of the Federal Court's ruling.

The court held that the clock for suing started with the actual damage in 2014, not at the signing.4 So a job that felt finished came back a decade later, and it stayed in court for another eight years after that.

Put that beside the fee. On the scale above, you'd need the fees from 240 houses at RM500,000 to match one award like that.1

That's fees and not profit, and one awful case isn't a normal one. Most files, I assume, end in a quiet drawer.

Firms don't carry all of that alone. The Malaysian Bar's scheme has mandatory cover of RM250,000, and the report put the yearly premium at RM1,000.5 That cover is a sixth of the award above, and I don't know what else that firm carried.

Disputes earn differently

Disputes aren't on a scale. Lawyer and client negotiate the fee, which turns on things like how complicated the case is, the lawyer's experience and how long it runs. A written agreement beats a spoken one if there's a row about the bill later.

I wanted to show you an hourly rate here, but I couldn't find a survey. The only figures I can find sit on firms' and directories' own pages, mostly undated and nowhere near each other, so I've left them out.

I think the deal flips here. The firm still answers for its own carelessness, but nothing I read ties a fee to winning, so the risk of losing stays with you. What you're renting is judgement, and the hours are just how it gets measured.

The argument about the scale

The Malaysia Competition Commission (MyCC) called the 2023 rise untimely, and said fixed conveyancing fees looked inconsistent when litigation fees aren't fixed.2 The senior lawyer who represented the Bar on the costs committee said the rise was needed "to cope with the increase in costs for lawyers".1

Haggling has a ceiling too. Solicitors may give up to 25% off on specified non-contentious work, and he said the public shouldn't press for discounts beyond what's permitted.1 "One does not ask for a discount when one consults a doctor," he added, which is a good line, though it's also a line from someone whose price is set by order.1

I lean towards MyCC on the fixing. When everyone charges the same, a careful firm can't show it in the price, and a buyer can't tell the two apart until years later.

The Bar's side is right about one thing, though. A price war over a job whose mistakes surface twenty years on doesn't sound much fun for the buyer either.

The dial that's left

Here's what I'd watch if I owned the firm, or hired one. With the rate set by the order, the dial left in a firm's own hands is how many files each person handles.

That isn't a finding. It's just what the arithmetic would tempt me to do, and it's why the fixed price doesn't settle the question of who's actually reading your search.
